Terms of Service

These Terms of Service (“Terms”) govern your use of iCerebro and the related mobile app, web app, and services (the “Service”), provided by Quantiko Technologies LLC (“Quantiko”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you are authorized to bind that company.

1. The Service

iCerebro is business software for contractors and service businesses. It provides field capture, measurements and draft material lists, estimating and invoicing, job costing, and related record keeping. We may add, change, or remove features over time.

2. Accounts

Accounts are issued by a company to its people. Each person must use their own account — accounts are not to be shared. You are responsible for keeping your credentials confidential and for activity under your account. Tell us promptly if you believe your account has been compromised. The company that owns the account controls who has access and at what role, and may revoke access at any time.

3. Acceptable use

You agree not to:

• Use the Service unlawfully, or to store or transmit unlawful content;
• Upload content you do not have the right to upload, or that infringes someone else's rights;
• Attempt to access another company's data, or probe, scan, or breach the Service's security or access controls;
• Interfere with or disrupt the Service, or place an unreasonable load on it, including automated scraping or bulk requests;
• Reverse engineer the Service or resell or sublicense access to it without our written permission.

4. Your content

Your company's data — its photos, videos, customer records, documents, estimates, invoices, and books — belongs to your company. You grant us only the license we need to host, process, transmit, back up, and display that data in order to run the Service for you, and to comply with law. You are responsible for having the rights and any consents needed for what you upload, including photos taken at a customer's property.

5. Drafts, measurements, and AI output

Measurements, material lists, cost figures, extracted document data, and anything generated by the Service's AI features are drafts for a qualified person to verify. They are not professional, engineering, legal, tax, or accounting advice. You are responsible for field-verifying measurements and quantities before ordering material, pricing a job, or relying on any output. iCerebro identifies what it sees and organizes what you enter; it does not diagnose conditions or make professional judgments for you.

6. Fees

The current release does not offer self-service or in-app subscription purchases. If your company enters a paid plan with Quantiko, its price, payment terms, renewal, cancellation, and refund terms will be stated in the written order or purchase terms accepted by your company.

7. Third-party services

The Service uses third-party providers for hosting, storage, AI processing, mapping and property imagery, and email, and can connect to outside accounts you authorize. We are not responsible for third-party services, and your use of a connected account is also governed by that provider's terms.

8. Privacy

Our Privacy Policy explains what we collect and how we handle it, and is part of these Terms.

9. Suspension and termination

You may stop using the Service at any time and may request deletion of your account as described on our Support page. We may suspend or terminate access if you materially breach these Terms, if your use puts the Service or others at risk, or if we are required to by law. On termination, your right to use the Service ends; data handling follows the retention section of the Privacy Policy.

10. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error free, or that any output will be accurate or complete.

11. Limitation of liability

To the fullest extent permitted by law, Quantiko is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising out of or relating to the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold Quantiko harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content or your use of the Service in breach of these Terms or applicable law.

13. Changes to these Terms

We may update these Terms. We will change the “Last updated” date and, for material changes, notify account owners. Continuing to use the Service after a change takes effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction over disputes arising from these Terms, and you consent to their jurisdiction.

15. Apple App Store

If you obtained the app from the Apple App Store: these Terms are between you and Quantiko, not Apple, and Apple is not responsible for the app or its content. Apple has no obligation to provide support for the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. General

These Terms are the entire agreement between you and Quantiko regarding the Service. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
